Business Law

The services of the practice are in two principal areas of business law, and in each the firm has experience and a track record of making significant contributions. The areas of expertise are:

Mergers and Acquisitions. Assisting business clients with asset acquisitions and dispositions, and tax-free and taxable mergers.

Corporate and Limited Liability Company (LLC). Providing legal services for established and start-up business entities, including counsel to corporations, LLCs, partnerships, and other forms of business entities. Example services:

	Structure and Formation. Assisting clients in structuring and organizing business entities, including corporations, LLCs, professional associations (PAs), and professional limited liability companies (PLLCs), in a manner that optimizes legal, tax, accounting, and other client objectives.
	Business Contracts. Structuring, drafting, and reviewing various business contracts, including Buy-Sell Agreements, Employment and Non-Compete Agreements, Shareholders’ Agreements, and Operating Agreements.
	Corporate and LLC Law. Advising clients regarding North Carolina corporate and LLC law as it applies to various business transactions.
	Reorganizations. Assisting clients with corporate reorganizations, including mergers, conversions into other entity forms, and other restructuring.
	Directors, Officers, and Managers. Advising directors, officers, and managers regarding their duties.
